	Hereinafter collectively referred to as “the Parties”.	Ci-après appelées collectivement « les Parties ».

0.1	WHEREAS the Parties have been for many years participating in the « TRANS Committee », a joint technical committee on transportation, created in 1975 as a sub-committee of the JACPAT (Joint Administrative Committee for Planning and Transportation) and established in 1979 under its current form.	ATTENDU QUE les Parties participent depuis plusieurs années au « Comité TRANS », un comité technique conjoint sur les transports, créé en 1975 à titre de sous-comité du CACPET (Comité administratif conjoint de la planification et des transports) et mis en place en 1979 sous sa forme actuelle.
0.2	WHEREAS the JACPAT (Joint Administrative Committee for Planning and Transportation) has ceased its activities in the mid ‘90s.	ATTENDU QUE le CACPET (Comité administratif conjoint de la planification et des transports) a cessé ses activités au milieu des années ’90.
0.3	WHEREAS the Parties have continued to use the TRANS Committee as a vehicle for communication and coordination of their technical efforts linked to transportation modeling and planning in the Ottawa-Gatineau Metropolitan Region.	ATTENDU QUE les Parties ont continué d’utiliser le Comité TRANS comme véhicule de communication et de coordination de leurs efforts techniques reliés à la modélisation et à la planification des transports dans la Région métropolitaine d’Ottawa-Gatineau.
0.4	WHEREAS the Parties recognize the importance and necessity of having a joint regional perspective on transportation planning activities, as persons and goods movement cannot be separated along municipal or provincial boundaries.	ATTENDU QUE les Parties reconnaissent l’importance et la nécessité de partager une perspective régionale sur les activités de planification des transports, compte-tenu que les déplacements de personnes et de marchandises ne peuvent être scindés en fonction des limites municipales ou provinciales.
0.5	WHEREAS the Parties recognize that the TRANS Committee is playing a key role in developing state of the art modelling tools, large scale data collection efforts and numerous technical studies of regional scope.	ATTENDU QUE les Parties reconnaissent que le Comité TRANS joue un rôle clé dans le développement d’outils de modélisation à l’état de l’art, de collecte de données à grande échelle et de nombreuses études techniques de portée régionale.
0.6	WHEREAS the City of Ottawa has always been providing secretariat services for the TRANS Committee activities.	ATTENDU QUE la Ville d’Ottawa a toujours fournit les services de secrétariat pour les activités du Comité TRANS.
0.7	WHEREAS the Parties are desirous of entering an agreement to formally recognize the existence of the TRANS Committee and contribute to its continued operation.	ATTENDU QUE les Parties sont désireuses d’établir une entente pour formellement reconnaître l’existence du Comité TRANS et contribuer à son fonctionnement continue.
0.8	NOW THEREFORE in consideration of the mutual covenants herein set forth, the Parties agree as follows:	EN CONSÉQUENCE, en contrepartie des engagements mutuels prévus par la présente entente, les Parties conviennent de ce qui suit :
1.	DEFINITIONS:	DÉFINITIONS
1.1	“Member Organizations” : the members of the TRANS Committee which are Parties to this Agreement, namely: City of Ottawa, Ministry of Transportation, Ontario (MTO), Ville de Gatineau, Société de transport de l’Outaouais (STO), Ministère des transports du Québec (MTQ) and National Capital Commission (NCC).	« Organismes membres » : les membres du Comité TRANS qui sont Parties à la présente Entente, soit la Ville d’Ottawa, le Ministère des transports de l’Ontario (MTO), la Ville de Gatineau, la Société de transport de l’Outaouais (STO), le Ministère des transports du Québec et la Commission de la Capitale nationale (CCN).
1.2	“Member Organization” : any one of the Member Organizations.	« Organisme membre » : n’importe lequel des Organismes membres.
1.3	“TRANS Committee”: a joint technical committee on transportation planning, which includes representatives of the Member Organizations and is the object of the present Agreement.	« Comité TRANS » : un comité technique conjoint sur la planification des systèmes de transport, regroupant des représentants des Organismes membres et qui est l’objet de la présente Entente.
1.4	“Ottawa-Gatineau Metropolitan Region” is a territory enclosing the cities of Ottawa and Gatineau, as well as the “MRC des Collines”, as shown in Appendix “A”.	« Région métropolitaine d’Ottawa-Gatineau » : un territoire englobant les municipalités d’Ottawa et de Gatineau, ainsi que la MRC des Collines, tel qu’illustré à l’Annexe « A ».
1.5	“TRANS Activities” : any activity, including administrative and technical, linked to the operation of the TRANS Committee.	« Activités TRANS » : toute activité, incluant administrative et technique, reliée au fonctionnement du Comité TRANS.
1.6	“TRANS Projects” : any project jointly developed and conducted under the TRANS Committee coordination.	« Projets TRANS » : tout projet conjointement développé et mené sous la coordination du Comité TRANS.
1.7	“TRANS Products”: Any report, data or information collected or developed through a TRANS Committee activity.	« Produits TRANS » : tout rapport, donnée ou information collecté ou développé à travers une activité du Comité TRANS.
2	MISSION	MISSION
2.1	Role : The TRANS Committee is a joint initiative of the Member Organizations to collaborate on technical efforts pertaining to transportation planning, in the areas of interest listed in 2.2. Its primary focus is on transportation demand modelling and analysis in the Ottawa-Gatineau Metropolitan Region. The TRANS Committee acts as a neutral technical forum, facilitating the exchange of information, knowledge and best practices between the Member Organizations and with other stakeholders.	Rôle: Le Comité TRANS est une initiative conjointe des Organismes membres afin de collaborer aux efforts techniques touchant la planification des transports, dans les champs d’intérêt listés en 2.2. Sa préoccupation principale est la modélisation et l’analyse de la demande en transport dans la Région métropolitaine d’Ottawa-Gatineau. Le Comité TRANS agit comme un forum technique neutre, facilitant les échanges d’information, de connaissances et des meilleures pratiques entre les Organismes membres et avec les autres intervenants.
2.2	Areas of interest : · Data : Collection, management and maintenance of data on demographics, land use, travel, traffic and transportation systems. · Modelling and Forecasting : Development, maintenance and continuous enhancements of a regional transportation model which is used for analysing existing transportation demand and forecasting future travel choices, according to scenarios about urban growth and development of transportation facilities, services and policies. · Regional Forum : Facilitation of discussions among Member Organizations and other practitioners on technical matters pertaining to transportation planning in the Ottawa-Gatineau Metropolitan Region; · Planning Studies : Coordination of efforts for the development and conduct of planning studies of regional scope and of common interest to the Member Organizations.	Champs d’intérêt : · Données : Collecte, gestion et entretien des données sur la démographie, l’utilisation du sol, les déplacements, la circulation et les systèmes de transport. · Modélisation et prévision : Développement, entretien et améliorations continues au modèle régional de transport, lequel est utilisé pour l’analyse de la demande en transport existante et pour la prévision des choix de déplacements futurs, en fonction de scénarios touchant la croissance urbaine et le développement des réseaux, services et politiques de transport. · Forum régional: Facilitation des discussions entre les Organismes membres et les autres praticiens sur les sujets techniques concernant la planification des transports dans la Région métropolitaine d’Ottawa-Gatineau. · Études de planification : Coordination des efforts portant sur le développement et la réalisation d’études de planification de portée régionale et d’intérêt commun aux Organismes membres.
2.3	Independence : The tools and data developed by the TRANS Committee may be independently used by each Member Organization for their own transportation planning studies and projects evaluation.	Indépendance : Les outils et données développés par le Comité TRANS peuvent être utilisés de façon indépendante par chacun des Organismes membres pour ses propres études de planification et d’évaluation de projets.
3	OPERATION	OPÉRATION
3.1	Voices: The TRANS Committee operates on a consensual basis. Each Member Organization has an equal voice, no one having any power of veto.	Voix : Le Comité TRANS fonctionne sur une base consensuelle. Chacun des Organismes membres dispose d’une voix égale, aucun n’y ayant quelque droit de veto.
3.2	Membership : Each Member Organization may designate and appoint one or more representatives on the TRANS Committee and its working groups.	Membres : Chacun des Organismes membres peut désigner et nommer un ou plusieurs représentants au Comité TRANS et sur ses groupes de travail.
3.3	Working Groups: The TRANS Committee establishes working groups, as needed, to conduct specific projects, tasks or joint initiatives.	Groupes de travail : Le Comité TRANS met en place des groupes de travail, au besoin, pour réaliser différents projets, tâches ou initiatives conjointes.
3.4	Meetings: The regular meetings of the TRANS Committee are programmed on a bimonthly basis. Special meetings can be organized as and when needed. Meetings can be attended by staff other than the appointed members of the Member Organizations by invitation only. External stakeholders, consultants and experts may attend the meetings by invitation only. Meetings are hosted in rotation by the Member Organizations and chaired by a representative of the host organization. All meetings can be attended via teleconference and proper equipments are provided by the host organization. Le personnel des Organismes membres, autre que les membres désignés, ne peut participer aux réunions que sur invitation. Les intervenants, consultants et experts externes ne peuvent participer aux réunions que sur invitation. Les rencontres sont accueillies en rotation par les Organismes membres et présidées par un représentant de l’organisme hôte. On peut participer à toute réunion par téléconférence et les équipements appropriés sont fournis par l’Organisme hôte.
3.6	Participation: All Member Organizations are expected to actively participate in the meetings and working groups.	Participation : La participation active de chacune des Organismes membres est attendue aux réunions et dans les groupes de travail.
3.7	Documentation: Agendas, minutes and other documents for the TRANS Committee meetings are made available to all Member Organizations by the TRANS Secretariat.	Documentation: Les ordres-du-jour, comptes-rendus et autres documents pour les réunions du Comité TRANS sont rendus disponibles à chacun des Organismes membres par le Secrétariat TRANS.

4	TRANS SECRETARIAT:	SECRÉTARIAT TRANS
4.1	The City of Ottawa shall provide the secretarial support for the operation of the TRANS Committee and its working groups. The secretariat is responsible for: § Yearly meeting calendar § Meeting agendas and note keeping § Website administration § TRANS co-op students hiring § TRANS Model upkeeping § TRANS Databases upkeeping § Work program development and update § Issuing project specific funding request § Contract administration § Project management § Financial management § etc.	La Ville d’Ottawa fournit le support de secrétariat pour le fonctionnement du Comité TRANS et de ses groupes de travail. Le secrétariat est responsable de : § la préparation du calendrier annuel des réunions § la préparation des ordres du jour et des comptes-rendus de réunions § l’administration du site Web § l’embauche des stagiaires étudiants § l’entretien du Modèle TRANS § l’entretien des banques de données TRANS § le développement et les mises à jour du programme de travail § l’émission des requêtes de financement pour les projets spécifiques § l’administration des contrats § la gestion des projets § la gestion financière § etc.
4.2	The City of Ottawa shall be responsible for the administrative actions associated with purchases and contracts required for activities and projects initiated by the TRANS Committee. More specifically, the City of Ottawa shall: (a) manage all contracts; (b) make all purchases and payments in accordance with the provisions of the City of Ottawa Purchasing By-Law; and (c) ensure that any call for bids will be open equally to suppliers from any province in Canada.	La Ville d’Ottawa est responsable des actions administratives associées aux achats et contrats requis pour les activités et projets initiés par le Comité TRANS. Plus spécifiquement, la Ville d’Ottawa doit: (a) administrer tous les contrats; (b) effectuer tous les achats et paiements conformément au Règlement sur les achats de la Ville d’Ottawa; et (c) s’assurer que tout appel d’offres soit ouvert également aux fournisseurs de toute province du Canada.
4.4	The City of Ottawa shall manage financial contributions from Member Organizations towards accomplishment of the Work Program. More specifically, City of Ottawa shall: (a) maintain a distinct accounting of all activities falling under the TRANS Program; (b) invoice each Member Organizations for their financial contributions according to the yearly Work Plan; (c) produce a yearly cash flow report, showing all contributions received and disbursements made for all activities falling under the TRANS Program.	La Ville d’Ottawa administre les contributions financières des Organismes membres en vue de la réalisation du programme de travail. Plus spécifiquement, la Ville d’Ottawa doit: (a) tenir une comptabilité distincte pour toutes les activités associées au programme TRANS; (b) facturer chacune des Organismes membres pour leurs contributions financières en fonction du plan de travail annuel; et (c) produire annuellement un état de caisse détaillant toutes les contributions reçues et tous les déboursements faits pour des activités associées au programme TRANS.

5	WORK PROGRAM	PROGRAMME DE TRAVAIL
5.1	A five (5) years prospective Work Program is developed by the TRANS Committee to reflect its main priorities and used by Member Organizations to plan for needed resources. The Work Program includes an estimation of financial needs for each of the TRANS Activities and Projects it lists. The quinquennial TRANS Regional Origin-Destination Survey and the ensuing update of the Trans Regional Transportation Model are key components of this Work Program.	Un Programme de travail prospectif de cinq (5) ans est établi par le Comité TRANS pour exprimer ses principales priorités et est utilisé par les Organismes membres pour planifier les besoins en ressources. Le Programme de travail montre une estimation des besoins financiers pour chacune des activités et chacun des projets identifiés. L’enquête Origine-Destination régionale quinquennale de TRANS, et la mise à jour du modèle régional de transport TRANS qui s’ensuit, sont les composantes clés de ce programme.
5.2	The TRANS Committee elaborates a yearly Work Plan, according to the resources and budgets made available by the Member Organizations.	Le Comité TRANS élabore un Plan de travail annuel, en fonction des ressources et budgets rendus disponibles par les Organismes membres.
5.3	The Work Program and Work Plan are under the TRANS Committee entire responsibility. They are maintained and updated on a continuous basis within the Committee’s rules for decision and according to the resources made available by the Member Organizations.	Le Programme de travail et le Plan de travail sont sous la responsabilité entière du Comité TRANS. Ils sont entretenus et mis à jour sur une base continue, à l’intérieur des règles de décision du Comité et en fonction des ressources accordées par les Organismes membres.

6	FINANCIAL CONTRIBUTIONS	CONTRIBUTIONS FINANCIÈRES
6.1	Budget categories: The budget for the TRANS Committee is organized under two categories of activities: (a) Operating Costs are those required, recurrently, for the general operation of the TRANS Secretariat, including for: § Telecommunications; § Preparation and distribution of meetings and workshop material; § Website hosting and maintenance; § EMME software annual support fee for the TRANS Secretariat; § TRANS co-op students salary (equivalent to one full time person); § ,Acquisition of data and processing of small data requests; § etc. (b) Project Costs are those associated with each specific initiative developed and coordinated by the TRANS Committee, according to its Work Program.	Catégories budgétaires : Le budget du Comité TRANS s’articule en deux catégories d’activités : (a) Les coûts d’opération sont ceux requis, de façon récurrente, pour le fonctionnement général du Secrétariat TRANS, incluant pour : § Télécommunications; § Préparation et distribution du matériel requis pour les réunions et ateliers; § Hébergement et entretien du site Web; § Frais annuel de support du logiciel EMME pour le Secrétariat TRANS; § Salaire des stagiaires étudiants (un équivalent temps complet); § Achats de données et traitement de requêtes légères de donnés; § etc. (b) Les coûts de projet sont ceux associés à chacune des initiatives spécifiques développées et coordonnées par le Comité TRANS, en fonction de son Programme de travail.
6.2	Operating Costs: All Member Organizations contribute to the Operating Costs on a yearly basis. For 2011, the TRANS operating budget is $60,000. It will be subject to increase according to inflation during subsequent years. The following rule is established for the sharing of Operating Costs: · Principle 1: A third each for federal, provincial and municipal levels; · Principle 2: Provincial and municipal shares are split according to the demographics of the Ottawa-Gatineau Metropolitan Region (e.g. 75% in Ontario and 25% in Quebec). · This results in shares of : ▪ NCC : ⅓ ▪ MTO: ⅓ × ¾ = ¼ ▪ Ottawa : ⅓ × ¾ = ¼ ▪ MTQ: ⅓ × ¼ = 1/12 ▪ Gatineau + STO : ⅓ × ¼ = 1/12	Coûts d’opération : Tous les Organismes membres contribuent aux coûts d’opération sur une base annuelle. Pour 2011, le budget annuel pour les coûts d’opération de TRANS est de 60.000 $. Il sera sujet à ajustement selon l’inflation durant les années subséquentes La règle suivante est établie pour le partage des Coûts d’opération : · Principe 1: Un tiers chacun pour les paliers fédéral, provincial et municipal; · Principe 2: Le partage des parts provinciales et municipales se fait selon la démographie de la Région métropolitaine d’Ottawa-Gatineau (i.e. 75% en Ontario et 35% au Québec). · Il en résulte des parts respectives de : ▪ CCN : ⅓ ▪ MTO: ⅓ × ¾ = ¼ ▪ Ottawa : ⅓ × ¾ = ¼ ▪ MTQ: ⅓ × ¼ = 1/12 ▪ Gatineau + STO : ⅓ × ¼ = 1/12
6.3	Project Costs: Member Organizations contribute to the Project Costs on a case by case basis, subject to their individual budgetary programs and authorization processes. Funding should reflect the cost sharing principles indicated in article 6.2. As a general indication, the TRANS five years Work Program represents total disbursements for an amount in the order of $ 3 M. Les contributions financières devraient refléter les principes de partage de coûts énoncés à l’article 6.2. À titre indicatif, le Programme de Travail quinquennal de TRANS représente des débours totaux avoisinant 3 M $.
6.4	Timeliness: Member Organizations are required to provide written confirmation to the TRANS Secretariat of their funding for projects undertaken by the TRANS Committee, in a timely manner so that the procurement of services can proceed unhindered.	Diligence : Les Organismes membres doivent confirmer par écrit au Secrétariat TRANS leurs contributions aux projets entrepris par le Comité TRANS de façon diligente afin que le processus d’acquisition de services puisse être complété sans encombre.

7	TECHNICAL CONTRIBUTIONS	CONTRIBUTIONS TECHNIQUES
7.1	The TRANS Committee shall use best efforts to ensure that all TRANS products (work, methodologies, reports, etc.) are: (a) state of the art; and (b) completed in a satisfactory manner.	Le Comité TRANS doit prendre les mesures pour s’assurer que tous les produits TRANS (travaux, méthodologies, rapports, etc.) sont : (a) conformes aux règles de l’art; et (b) exécutées de façon satisfaisante.
7.2	Each Member Organization shall assign its internal resources to any task required to ensure the successful completion of the projects, within the parameters provided by the TRANS Committee. Those shall take into account the character of each Member Organization, such as its geographic location, its relative size and the nature of its technical expertise.	Chaque Organisme membre doit affecter ses ressources internes à toute tâche nécessaire pour mener à bon terme les projets, selon les orientations établies par le Comité TRANS. Celles-ci devront tenir compte des particularités de chaque Organisme membre, telles que sa situation géographique, sa taille relative et la nature de son expertise technique.
7.3	Each Member Organization shall assign its internal resources to the TRANS projects: (a) without charge; and (b) in a timely manner.	Chaque Organisme membre doit affecter ses ressources internes aux projets TRANS : (a) gratuitement; et (b) à temps

8	DURATION AND RENEWAL	DURÉE ET RECONDUCTION
8.1	The present Agreement has a five (5) years duration.	La présente Entente a une durée de cinq (5) ans.
8.2	The present agreement shall be automatically and tacitly renewed. Any Member Organization wishing to introduce changes at the time of the agreement’s renewal shall communicate them to the TRANS Secretariat no later than one year before its expiration date. If changes are required to the Agreement at its renewal time, the TRANS Committee shall develop a new version of it and circulate it to Member Organizations for approval and signature.	La présente Entente sera renouvelée par tacite reconduction. Tout Organisme membre souhaitant apporter des amendements à l’entente au moment de sa reconduction doit les communiquer au Secrétariat TRANS au plus tard un an avant sa date d’échéance. Si des changements sont requis à l’Entente au moment de son renouvellement, le Comité TRANS en préparera une nouvelle version et la fera circuler aux Organismes membres pour approbation et signature.

9	OWNERSHIP AND DISTRIBUTION	PROPRIÉTÉ ET DISTRIBUTION
9.1	All TRANS Products (working papers, data, reports and any other documents, property and materials produced in the performance of the TRANS Projects) and all copyright thereto are the joint property of the Member Organizations.	Les Organismes Membres deviennent copropriétaires de tous les produits TRANS (documents de travail, données, rapports et tout autre document, propriété ou matériel produits dans le cadre des Projets TRANS), de même que de tout droit d’auteur s’y rattachant.
9.2	Any file commercially obtained for a TRANS Project, subject to any express restriction with respect to the licenses, shall also be the joint property of the Member Organizations.	Les Organismes Membres deviennent aussi copropriétaires de tout fichier acquis sur le marché aux fins des projets TRANS, sous réserve de toute restriction expresse visant les licences.
9.3	The TRANS Committee shall be responsible for devising the mechanisms through which reports and results of any TRANS Project and Activity will be distributed and used.	Le Comité TRANS est responsable d’élaborer les mécanismes de diffusion et d’utilisation des rapports et résultats de tout Projet ou Activité TRANS.
10	GOVERNING LAW:	LOI APPLICABLE
	This Agreement shall for all purposes be governed by and construed in accordance with, the laws of the Province of Ontario and the laws of Canada applicable therein.	La présente Entente doit, à toutes fins, réputée être régie par les lois de la province de l’Ontario et les lois applicables du Canada.
11	SEVERABILITY	DIVISIBILITÉ
	Any provision of this Agreement that is prohibited or unenforceable shall not invalidate the remaining provisions of this Agreement and any such prohibition or unenforceability shall not invalidate or render unenforceable such provisions.	Toute disposition de la présente Entente qui est déclarée invalide ou non exécutoire n’aura pas d’effet sur la validité et le caractère exécutoire des autres dispositions de la présente Entente.
12	WHOLE AGREEMENT	TOTALITÉ DE L’ENTENTE
	This Agreement constitutes the whole and entire Agreement between the Parties relating to the subject matter of this Agreement and cancels and supercedes any prior agreements, undertakings, declarations, commitments and representations, written or oral, in respect thereof.	La présente Entente représente tout ce qui a été convenu entre les Parties relativement à son objet et annule et remplace toute entente, négociation, déclaration, assertion et tout engagement préalable sur ce même objet, qu’il soit verbal ou écrit.
13	HEADINGS:	TITRES
	The headings contained in this Agreement are for convenience of reference only and are not intended to define, limit or describe the scope or intent of any provision of this Agreement.	Les titres ne figurent dans la présente Entente que pour en faciliter la consultation et ne visent nullement à définir, limiter ou décrire la portée ou l’intention des dispositions de la présente Entente.
14	ASSIGNMENT:	CESSION
	Neither this Agreement, nor any right or obligation under this Agreement, shall be assignable by any of the Parties and any attempt to do so shall be void ab initio.	Aucune des Parties aux présentes ne peut céder la présente Entente ni aucun droit ou obligation qui y est prévu et toute tentative de cession rendra la présente Entente nulle ab initio.
15	NO PARTNERSHIP:	PAS DE PARTENARIAT
	Despite anything contained in this Agreement, it shall neither constitute, nor be deemed to create, a partnership or a joint venture between the Member Organizations.	Il est entendu et convenu qu’aucun élément de la présente Entente ne vise à créer, ni n’est réputée créer, un partenariat ou une coentreprise entre les Organismes membres.
16	FURTHER ACTS:	AUTRES MESURES
	Each Member Organization shall do or cause to be done all such further acts and things as may be reasonably necessary or desirable to give full effect to this Agreement.	Chaque Organisme membre doit prendre ou faire prendre toute autre mesure qui peut être raisonnablement nécessaire ou souhaitable pour donner plein effet à la présente Entente.
17	WAIVER:	RENONCIATION
17.1	No waiver of any provision of this Agreement shall be binding unless it is in writing.	Aucune renonciation à une disposition de la présente Entente n’est exécutoire à moins d’être faite par écrit.
17.2	No indulgence or forbearance by a Member Organization shall constitute a waiver of such Member Organization’s right to insist on performance in full and in a timely manner of all covenants in this Agreement.	Aucun jour de grâce ou abstention accordé par un Organisme membre ne constitue une renonciation au droit de cet Organisme membre d’insister sur l’exécution entière et à temps de tous les engagements prévus à la présente Entente.
17.3	Waiver of any provision shall not be deemed to waive the same provision thereafter, or any provision of this Agreement at any time.	La renonciation à une disposition n’est pas réputée constituer une renonciation à cette même disposition ultérieurement ou à toute disposition de la présente Entente en tout temps.
18	COMMUNICATIONS BETWEEN MEMBER ORGANIZATIONS:	COMMUNICATIONS ENTRE ORGANISMES MEMBRES
18.1	Any notices, requests or other communications to be given under the provisions of this Agreement shall be in writing and shall be given by personal delivery, or sent by electronic mail, facsimile or mailed by prepaid registered mail, or delivered by courier service.	Tout avis, toute demande ou autre communication devant être donné aux termes de la présente Entente doit être fait par écrit et doit être livré en mains propres, envoyé par courrier électronique, par télécopieur ou par courrier recommandé affranchi, ou livré par un service de messagerie.
18.2	Appendix B lists the contact person from each Member Agency whom communications mentioned at Article 18.1 shall be addressed to. The Member Organizations shall inform without delay the TRANS Secretariat whenever updates are needed to Appendix B. TRANS Secretariat shall produce and circulate an updated version of Appendix B to all Member Organizations whenever changes are made.	L’Annexe B identifie les personnes-contact des Organismes membres auxquelles les communications mentionnées à l’article 18.1 doivent être adressées. Les Organismes membres doivent informer sans délai le Secrétariat TRANS de toute mise à jour requise à l’Annexe B. Le Secrétariat TRANS produira et distribuera une version mise à jour de l’Annexe B à tous les Organismes membres à chaque fois que des changements y sont apportés.
18.3	Notices, requests or other communications shall be deemed to have been effectively given on the date of personal delivery, the date of electronic mail, facsimile transmission or the date of delivery by courier service or in the case of service by registered mail, five (5) days after the date of mailing.	Les avis, demandes ou autres communications sont réputées avoir été donnés à la date de la livraison en mains propres, de la transmission du courrier électronique, de la transmission par télécopieur ou de la livraison par service de messagerie ou, dans le cas du courrier recommandé, cinq (5) jours après la date d’expédition par la poste.
19	PUBLIC INFORMATION	INFORMATION AU PUBLIC
19.1	Each Member Organization agrees that all arrangements to provide public information related to this Agreement and the deliverables produced hereunder shall be subject to the federal Access to Information Act and Privacy Act, the Freedom of Information and Protection of Privacy Act or the Municipal Freedom of Information and Protection of Privacy Act, and each Member Organization agrees to work toward all such arrangements being consistent with the objectives and policy guidelines of each Member Organization as well as its own.	Chaque Organisme membre convient que toutes les dispositions visant à fournir au public des renseignements concernant la présente Entente ou les biens livrables produits dans le cadre de la présente Entente sont visées par la Loi sur l’accès à l’information et la Loi sur la protection de la vie privée fédérales, la Loi sur l’accès à l’infor-mation et la protection de la vie privée ou la Loi sur l’accès à l’information municipale et la protection de la vie privée, et chaque Organisme membre accepte de veiller à ce que toutes ces dispositions soient conformes aux objectifs et aux principes directeurs de chaque Organisme membre comme aux siens.
19.2	All documents, reports, notices or information emanating from the TRANS Activities shall have been formally approved by the TRANS Committee before public release.	Tout document, rapport, avis ou information émanant des Activités TRANS doit avoir été formellement approuvé par le Comité TRANS avant diffusion publique.
20	JURISDICTION:	COMPÉTENCE
	Nothing in this Agreement is intended to alter the respective jurisdiction over transportation facilities, or over regulatory or other matters related thereto, or to be construed so as to vest in any Member Organization any proprietary interest in transportation facilities.	Aucune disposition de la présente Entente ne vise à modifier la compétence respective de chaque Organisme membre à l’égard des infrastructures de transport, ou concernant les questions réglementaires ou autres qui s’y rapportent, ni ne doit être interprétée comme visant à accorder à une Organisme membre un droit de propriété à l’égard des infrastructures de transport.
21	COUNTERPARTS	EXEMPLAIRES
21.1	This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original and all of which taken together shall be deemed to constitute one and the same instrument and it shall not be necessary in making proof of this Agreement to produce or account for more than one such counterpart.	La présente Entente peut être signée en plusieurs exemplaires, chacun étant réputé être un original et tous ne formant qu’un seul et même document et il n’est pas nécessaire de produire plus qu’un exemplaire de la présente Entente pour en faire la preuve.
21.2	This Agreement shall not be binding upon any of the Parties until it has been executed by each Member Organization and delivered to all other Member Organizations.	La présente Entente ne lie aucune des Parties avant qu’elle ne soit signée par chaque Organisme membre et livrée à toutes les autres Organismes membres.
22	LANGUAGE	LANGUE
22.1	Whereas the Parties have agreed that this Agreement be drawn up in the English language and translated into the French language, and that this translation into the French language shall appear in this Agreement, they further agree that:	Attendu que les Parties ont convenu que la présente Entente serait rédigée en anglais et traduite en français, et que cette traduction en français apparaîtrait dans la présente Entente, elles conviennent aussi de ce qui suit:
22.2	(a) the English language version of the Agreement is the original, authoritative, authentic and paramount version of the Agreement that prevails over the French language translation of the Agreement; and (b) if there is a specific reference to a provision of the Agreement and there appears to be an inconsistency or ambiguity with respect to that reference, the reference shall be deemed to be a reference to the English language version of the Agreement.	(a) la version anglaise de la présente Entente constitue la version originale, authentique et prépondérante de l’Entente, faisant autorité et qui a préséance sur la traduction française de l’Entente; et (b) si un renvoi à une disposition de l’Entente entraîne une contradiction ou une ambiguïté, le renvoi est réputé viser la version anglaise de l’Entente.
